Yodel Delivery Network Ltd v Corlett [2025] EWCA Civ 1108

On 11 June 2025, the High Court dismissed an application for an injunction in a ‘battle for control’ of the well-known home delivery company, Yodel.  See the news item dated 27 June 2025. As explained there, the Applicants sought to restrain the implementation of a ‘transformation plan’ for the business of Yodel pursued by it under the ultimate ownership of InPost UK Ltd, in order, the Applicants said, to preserve the value in their counterclaim for specific performance requiring Yodel to issue new shares to them which they said would give them control of Yodel.

The unsuccessful Applicants obtained permission to appeal against the dismissal of their application and an order for the expedited hearing of that appeal, which was heard by the Court of Appeal on 31 July 2025.  Following a Judgment handed down on 15 August 2025, the Court of Appeal dismissed the appeal, holding that “the Judge was not only entitled, but correct, to decline to grant an injunction”.
