Michael Todd KC successfully represents Ocean Wilsons Holdings Limited in its Bermudian Scheme of Arrangement

Michael Todd KC successfully represented Ocean Wilsons Holdings Limited in its Bermudian Scheme of Arrangement proposed to be made with its members.

The Scheme was challenged by a minority shareholder on grounds including (amongst others) those relating to class composition, and to the fairness of the Scheme.

Following a fully contested hearing, in which the Court heard expert evidence as to the fairness of the Scheme, on 2 December 2025, the Supreme Court of Bermuda dismissed the minority shareholder’s objections, and sanctioned the Scheme.

The Scheme gave effect to a recommended all-share combination with Hansa Investment Company Limited.

The Scheme became effective on 9 December 2025.
