Andrew is involved in most of the leading public company M&A transactions undertaken in the UK. In particular, Andrew advises on 40-50 listed company acquisitions per annum, as well as advising on other corporate transactions including mergers under the Companies (Cross-border Merger) Regulations 2007, insurance and banking transfers under Part VII of the Financial Services and Markets Act 2000 and reductions of capital under the Companies Act 2006. All transactions are subject to applications to the Court.
Court sanctioned transactions on which Andrew was instructed in the last 12 months include the takeovers of U and I Group Plc, Arena Events Group plc, Playtech Plc, Blue Prism Group plc, Stock Spirits Group plc, TP Group Plc, Meggitt Plc, Avast plc, Ultra Electronics Holdings plc, Augean plc, Vectura Group plc, Immunodiagnostic System Holdings plc, St Modwen Properties plc, John Laing Group plc, Poractis Holdings plc, Equiniti Group plc, GYG plc, Way Education plc, Telit Communications plc, RDI Reit plc, Arrow Global Group plc, ScapaGroup plc, AFH Financial Group plc, Signature Aviation plc, Calisen plc, William Hill Group plc.
Andrew also acted for Crystal Amber in its successful opposition to the proposed sanction of the scheme of arrangement for Hurricane Energy Plc pursuant to Part 26A of the Companies Act 2006.
